B2B Terms and Conditions

By registering for a wholesale account or placing an order through the wholesale portal of Byler Canning Co., you agree to the following Terms and Conditions.

1. Wholesale Account Registration

To purchase through our wholesale portal, customers must provide accurate, current, and complete business information. Byler Canning Co. reserves the right to approve, deny, suspend, or terminate any wholesale account at its sole discretion.

Unless credit terms have been approved in writing, all wholesale accounts are set up on Due on Receipt terms.

2. Minimum Order Requirement

Wholesale orders are subject to a $750 minimum order amount, unless otherwise approved in writing by Byler Canning Co.

3. Order Submission and Acceptance

Submission of an order through the wholesale portal does not constitute acceptance of that order by Byler Canning Co. All orders are subject to review for product availability, pricing accuracy, freight considerations, and account standing.

Byler Canning Co. reserves the right to accept, reject, limit, delay, or cancel any order at its discretion, including but not limited to orders affected by pricing errors, inventory shortages, overdue balances, credit concerns, or other business considerations.

Receipt of an electronic order confirmation or automated email only confirms that your order request has been received. It does not constitute final acceptance of the order.

4. Pricing and Product Availability

All prices, product offerings, case packs, and product availability are subject to change without notice. Pricing in effect at the time an order is accepted by Byler Canning Co. will govern.

Products displayed in the wholesale portal may occasionally be unavailable at the time of fulfillment. If a product is unavailable or a pricing error is discovered, Byler Canning Co. reserves the right to adjust or cancel the affected portion of the order. No substitutions will be made without customer approval unless otherwise agreed in writing.

5. Payment Terms

Unless otherwise approved in writing, all wholesale orders are Due on Receipt.

Payments may be made through our secure online portal or by mailed check. Payments made by credit card through the online portal are subject to a 3.5% technology fee. ACH payments do not incur additional fees. Checks should be made payable to Byler Canning Co.

Customers approved for credit terms will be invoiced on Net 30 terms, meaning payment is due in full within 30 days from the invoice date.

6. Credit Approval and Credit Terms

Approval of credit terms is subject to satisfactory completion of Byler Canning Co.’s credit application process and review of the applicant’s creditworthiness. Byler Canning Co. reserves the right to approve or deny credit at its sole discretion.

By applying for credit, the applicant authorizes Byler Canning Co. to obtain credit reports and other information reasonably necessary to evaluate creditworthiness. Byler Canning Co. may also report payment history to credit bureaus or other reporting agencies.

A credit limit may be established for each customer account based on creditworthiness, payment history, and purchase volume. Byler Canning Co. reserves the right to change, reduce, suspend, or revoke credit terms or credit limits at any time without prior notice.

7. Overdue Accounts

Past due balances will accrue interest at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is less, until paid in full.

Byler Canning Co. reserves the right to place any account with overdue invoices on hold. Orders may be delayed, withheld, or canceled until all past due balances are paid in full.

If an account becomes 60 days past due, Byler Canning Co. reserves the right to revoke credit terms and require prepayment for all future orders.

8. Freight, Delivery, and Accessorial Charges

Unless otherwise agreed in writing, the customer is responsible for all freight, delivery, and related accessorial charges associated with an order.

The customer is responsible for providing complete and accurate shipping information. Any additional charges resulting from incorrect or incomplete shipping information, residential delivery, limited access delivery, liftgate service, delivery appointments, redelivery, detention, or storage will be the responsibility of the customer and may be added to the invoice.

Any freight quotes provided by Byler Canning Co. are estimates unless expressly stated otherwise and may be adjusted to reflect actual shipping charges.

9. Inspection, Shortages, and Damage Claims

Customers must inspect all shipments promptly upon delivery. Any claims for shortages, damages, shipment errors, or other discrepancies must be submitted in writing to Byler Canning Co. within 5 business days of delivery.

Claims should include sufficient supporting information, including photographs when applicable. Failure to report an issue within this time period will be deemed acceptance of the shipment as delivered.

10. Returns and Credits

Due to the nature of food products, returns are not accepted without prior written authorization from Byler Canning Co.

Opened, used, expired, customer-damaged, or improperly stored products are non-returnable. Any approved return, credit, or replacement will be issued solely at the discretion of Byler Canning Co.

11. Billing Disputes

Any dispute regarding an invoice must be submitted in writing within 15 days of the invoice date. Failure to notify Byler Canning Co. within that time will be considered acceptance of the invoice as accurate and due.

12. Taxes

Customers are responsible for all applicable sales, use, and similar taxes unless a valid resale certificate or other tax exemption documentation is provided to and accepted by Byler Canning Co. before order processing.

13. Use of Information

Information provided during account registration, order placement, or the credit application process will be treated confidentially and used solely for purposes related to account setup, credit evaluation, order processing, payment collection, and account management.

14. Suspension or Termination

Byler Canning Co. reserves the right to suspend or terminate any wholesale account at any time, without prior notice or liability, for any reason, including but not limited to overdue balances, misuse of the account, breach of these Terms and Conditions, or other business concerns.

15. Limitation of Liability

Byler Canning Co. shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the sale, delivery, delay, non-delivery, or use of its products, including but not limited to lost profits, lost sales, or business interruption.

Byler Canning Co.’s total liability for any claim arising out of or relating to any order shall not exceed the purchase price of the specific products giving rise to the claim.

16. Changes to Terms

Byler Canning Co. reserves the right to update, amend, or modify these Terms and Conditions at any time. Notice of material changes may be provided in writing, electronically, or by posting updated terms through the wholesale portal. Continued use of the wholesale account or placement of orders after such changes constitutes acceptance of the revised Terms and Conditions.

17. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the state or federal courts located in Pennsylvania.

18. Acceptance of Terms

By registering for a wholesale account, submitting a credit application, or placing an order with Byler Canning Co., you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
